1. What GioBiz Is — and What It Is Not

GioBiz is a technology platform. Henmack Technologies Ltd ("GioBiz", "we", "us") operates a marketplace and software service that connects vendors, individual riders, and dispatch logistics companies. We provide the tools — listings, ranking, booking, tracking, ratings, and management software.

Critical — please read GioBiz does not own vehicles. GioBiz does not employ riders. GioBiz does not operate warehouses. GioBiz does not carry, hold, or take custody of any goods. We are a software service that connects independent vendors and independent delivery providers. We are not a logistics company, courier, or carrier under any law.

2. Who Uses the Platform

The platform serves three independent classes of users:

  • Vendors — sellers, retailers, e-commerce operators who use GioBiz software to manage their business and to find delivery options for their orders.
  • Riders — independent motorcycle, tricycle, or vehicle operators who list themselves on the platform to receive job offers from vendors.
  • Dispatch logistics companies — independent businesses (5–200+ riders) that use GioBiz software to manage their operations and to receive job offers from vendors.

All three are independent businesses or independent contractors. None of them are employees, agents, partners, or representatives of GioBiz. By using the platform, you represent that you are operating in your own legal capacity.

3. Liability and Risk — IMPORTANT

Limitation of liability GioBiz shall not be liable for any loss, damage, theft, mis-delivery, late delivery, non-delivery, deterioration, or destruction of any goods moving through arrangements made on the platform. All goods move at the sender's risk. GioBiz is not a party to the contract of carriage between any vendor and any provider.

3.1 No carriage contract

When a vendor hires a rider or a dispatch company through the platform, the contract of carriage is between the vendor and the chosen provider. GioBiz is not a party to that contract.

3.2 No warranty of provider conduct

GioBiz operates a reputation system showing ratings and reviews. We do not warrant the conduct, performance, integrity, identity, qualifications, or insurance status of any rider or dispatch company. The reputation system is information; it is not a guarantee.

3.3 Insurance

GioBiz does not provide insurance for any goods moving through the platform. Vendors and senders are responsible for arranging their own insurance directly with their chosen provider or with a third-party insurer if they wish to cover high-value items.

3.4 Indemnity

You agree to indemnify and hold GioBiz harmless from any claim, demand, loss, or expense arising from your use of the platform, including any claim from a customer, supplier, recipient, or third party relating to goods carried under arrangements made on the platform.

4. Delivery Paths and Responsibility

GioBiz supports two distinct delivery booking paths. Each carries different responsibility:

Path 1 — Vendor hires a Dispatch Logistics Company (lower risk)

The vendor selects a registered dispatch company from the marketplace. The dispatch company collects the goods and is responsible for managing pickup, transit, transfer between riders, and delivery. The dispatch company is liable to the vendor for performance of that service. GioBiz is not liable for the dispatch company's performance, conduct, or solvency.

Path 2 — Vendor hires a Rider Directly (higher risk, faster)

The vendor selects an individual rider directly from the marketplace, often for urgent or high-priority items. By choosing this path, the vendor expressly accepts the risks of using an individual contractor — including the risk of loss, theft, accident, mis-delivery, or non-performance. GioBiz facilitates the connection but is not liable for the rider's conduct. Riders on this path are independent contractors of the vendor for that specific job.

In both paths, GioBiz's role is limited to: providing the marketplace, processing the booking, hosting the tracking page, sending automated notifications, and (where applicable) collecting platform commissions.

5. Accounts and Verification

  • You must use a phone number, email address, and (where applicable) a National Identification Number (NIN) or business registration that you control or are authorised to use.
  • Riders must complete identity verification (NIN or driver's licence + selfie) before accepting jobs. Dispatch companies must provide business registration documents.
  • You are responsible for all activity under your account. Keep your PIN, OTP codes, and recovery email secure.
  • GioBiz may suspend, restrict, or remove any account that violates these Terms, with or without notice, at our sole discretion.

6. Payments and Pricing

  • The platform records subscription fees (Business, Logistics, Dispatch, Rider) which are paid by users to GioBiz for access to the software service.
  • The platform records cash, transfer, credit, and bank-transfer states for vendor sales and delivery fees. GioBiz does not currently process card or wallet payments.
  • Vendors must confirm external payments before marking an order as paid. Riders and dispatch companies are responsible for collecting their own delivery fees from the relevant party.
  • GioBiz publishes recommended price ranges (tariff guidance) for transparency. These are non-binding. Riders, dispatch companies, and vendors set their own actual prices.
  • GioBiz may offer premium profile placement to riders and dispatch companies at published rates. Premium placement does not constitute an endorsement by GioBiz.

7. Vendor Obligations

  • Provide accurate sender, recipient, package, and value information when booking a delivery.
  • Do not ship prohibited goods (see Section 11).
  • Pay agreed delivery fees promptly to the chosen provider.
  • Resolve customer disputes (refunds, returns, product issues) directly with the customer. GioBiz is not a customer service intermediary.
  • Honour your published store information, prices, and stock levels.

8. Rider Obligations

  • Hold a valid driver's licence (where required by Nigerian law for your vehicle type) and operate a roadworthy vehicle.
  • Carry goods with reasonable care. Do not tamper with, open, or remove items from packages.
  • Provide pickup and delivery proof (photos, GPS, signature where supported) accurately.
  • Do not solicit customers off-platform after a delivery is completed via the platform.
  • Do not impersonate other riders or take jobs you cannot complete.

9. Dispatch Company Obligations

  • Maintain valid business registration (CAC) and any sector-specific licences required for logistics operations.
  • Take reasonable steps to verify and supervise your own riders. You are responsible for the conduct of riders operating under your company name.
  • Honour published prices, schedules, and guarantees on your public profile.
  • Maintain insurance appropriate to the goods you carry (recommended, not required by GioBiz).
  • Accept responsibility, as the contracting carrier, for goods between pickup and delivery on Path 1 jobs.

10. Disputes

Disputes between users (vendor-rider, vendor-dispatch, rider-customer) must be resolved between those parties. GioBiz may, at our sole discretion and without obligation, offer informal mediation, hold a non-binding view of the facts, or restrict the platform privileges of a non-compliant party. Our involvement is optional and does not create a duty of care or any contractual obligation to resolve the matter.

11. Prohibited Use

You must not use the platform for any of the following:

  • Fraud, counterfeit goods, illegal substances, weapons, stolen property, or any goods prohibited by Nigerian law.
  • Spam, harassment, threats, or harmful behaviour towards any user.
  • Misleading storefronts, false product information, or deceptive marketing.
  • Attempting to access another user's account, data, or business records.
  • Bypassing security rules, rate limits, authentication flows, or platform commissions.
  • Using the platform to coordinate price-fixing or anti-competitive behaviour with other users.
  • Reselling, re-licensing, or repackaging the GioBiz software or data without our written permission.

12. Data and Privacy

GioBiz processes user data in accordance with our Privacy Policy, which is compliant with the Nigeria Data Protection Regulation (NDPR). You agree that GioBiz may anonymise and aggregate platform data for tariff studies, market research, and platform improvements, and may publish such aggregated data without identifying individual users.

13. Availability and Changes

GioBiz is provided on an "as is" and "as available" basis. The service may experience downtime, bugs, data loss, or feature changes. Maintain your own backup records for critical accounting and inventory operations. We may update these Terms at any time by posting a new version. Continued use of the platform after a change constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes arising from the use of the platform shall be resolved exclusively in the courts of Lagos State, Nigeria.
